Terms of Use

Article 1 (Purpose)

These Terms of Use aim to respect non-commercial creative activities by individual fans and creators, while ensuring that the character IP owned by the official entity can be used safely and appropriately.

Article 2 (Definitions)

The terms used in these Guidelines are defined as follows.

1. “Fan Art” refers to creative works produced based on officially released Nekowemon characters and does not include the creation of new characters.

2. “UGC (User Generated Content)” refers to derivative works including fan art that are created, posted, or used within a non-commercial scope.

3. “Non-commercial Works” refers to items produced based on fan art, such as doujinshi, printed materials, acrylic goods, badges, stickers, and similar items, intended only for cost recovery.

4. “Commercial Use” refers to activities that involve the use of the characters for the purpose of obtaining economic benefits such as profit, revenue, advertising income, tips, paid features, or other similar financial gains.

5. “AI-generated Content” refers to images, videos, text, or other forms of expression created using generative AI or other automated generation technologies.

6. “Official” refers to iwemon store.

Article 3 (Permission for Non-commercial Use)

1. Fan art and UGC may be used without prior permission from the Official, provided that such use remains strictly within a non-commercial scope.

2. Fan Art is limited to works based on existing Nekowemon characters, and the creation of new characters is not permitted.

3. Distribution of non-commercial works (including fan-made goods) is permitted only for the purpose of cost recovery. If profit is generated or distribution is conducted repeatedly and continuously, such activities will be considered commercial use.

4. The creation and distribution of non-commercial works are permitted only for individuals who have completed UGC Creator Registration.

5. Non-commercial use must not infringe upon the copyrights or other rights of third parties.

6. AI-generated content that directly generates the character itself using automated generation technologies is not permitted. However, the use of AI as a supporting tool for creative work, such as for backgrounds, effects, color correction, or composition assistance, is permitted provided that the primary authorship of the work remains human.

Article 4 (Activities Considered Commercial Use)

The following activities are considered commercial use and require a separate commercial license agreement.

1. Sale of merchandise or physical goods

2. Paid distribution of digital products or games, or monetization through advertisements

3, Advertising revenue (e.g., YouTube Partner Program, TikTok monetization)

4. Tips, donations, subscriptions, or other forms of recurring revenue

5. Crowdfunding or other forms of fundraising

6. Distribution of works created with the intention of generating profit

7. Any monetization activities listed above are not permitted unless the user has completed UGC Creator Registration (including registration of email address and SNS accounts).

8. Users who wish to monetize their works must follow the UGC Creator Registration Guidelines separately established by the Official and complete the required registration and procedures.

Article 5 (Prohibited Activities)

The following activities are prohibited.

1. Creating characters primarily using generative AI or other automated generation technologies

2. Generating 3D character data (including through AI)

3. Use for AI training purposes

4. Collecting, using, or providing Nekowemon characters or UGC works as training data, datasets, or training materials for generative AI or other machine learning models

5. Minting, selling, distributing, or secondary trading of NFTs or Web3-related assets

6. Creating, distributing, selling, or implementing UGC items, avatars, or 3D models on platforms such as Roblox, VRChat, or Unity

7. Expressions that may damage the official brand value or violate public order and morals

8. Political, religious, or antisocial use

9. Unauthorized commercial use by companies or corporations

10. Violations of laws or infringement of third-party rights

11. Any use that violates these Terms of Use

Article 6 (No Endorsement)

1. Fan art and UGC created under these Terms must not imply or suggest that the work is officially produced, endorsed, approved, or sponsored by the Official.

2. Creators must not present their works in a way that may cause confusion as to whether the work is an official product or content.

3. The Official reserves the right to request clarification, modification, or removal of such works if necessary.

Article 7 (Actions in Case of Violations)

If a violation of these Terms of Use occurs, the Official may take the following actions.

1. Request removal of the work

2. Request suspension of use

3. Recommend transition to a commercial license

4. Take legal action based on infringement of rights

Article 8 (Right to Revoke Permission)

1. The Official reserves the right to modify, suspend, or revoke the permission for fan art and UGC at any time if the Official determines that the use is inappropriate, harmful to the brand, or otherwise inconsistent with these Terms.

2. In such cases, the creator must promptly comply with requests from the Official, including modification, removal, or suspension of the work.

3. The Official shall not be liable for any damages arising from such revocation or requests.

Article 9 (Handling of UGC Works)

1. Copyright in UGC works belongs to the Official.

2. In principle, the creator may use the UGC work only within a non-commercial scope.

3. Fan art and UGC published by users who have not completed UGC Creator Registration will be deemed to have been agreed to be treated as shared materials within the Nekowemon fan community.

4. For the works described in the preceding paragraph, the Official and other users may use, quote, edit, adapt, or share the works within a non-commercial scope.

5. Published UGC works may be used by the Official for purposes such as introduction, quotation, sharing, or similar activities.

Article 10 (Notifications from the Official)

Registered email addresses may be used for the following purposes.

1. Communication and notifications

2. Information distribution

3. Campaign announcements

4. License-related information

Article 11 (Amendments to the Guidelines)

These Terms of Use may be modified without prior notice. The latest version will be published on the official website.
