Article 1 (Purpose) This Agreement defines the terms of use for characters owned by the Licensor (hereinafter referred to as the "Characters") and grants the Licensee permission for commercial use.

Article 2 (Subject of Use) The Series Name, Number of Characters, and Individual Character Names shall be as stated in this form.

Article 3 (Purpose and Scope) The Characters may only be used for the purposes stated in the "Purpose and Scope of Use" section of this form.

Article 4 (Contract Period) The Start Date and End Date shall be as stated in this form. Sales of inventory after the contract ends are permitted for up to 3 months. Existing digital advertisements and SNS posts do not need to be deleted, but new posts are not permitted.

Article 5 (Territory) The Territory of use shall be as stated in this form.

Article 6 (Consideration and Payment) The amount and payment terms shall be as stated in this form. In the case of Stripe payment, this Agreement shall become effective upon completion of payment after we send the payment link.

Article 7 (Prior Approval) Design proposals for products, advertisements, etc., must generally be submitted in advance for Licensor approval.

Article 8 (Prohibitions) Uses contrary to public order and morals, use for political, religious, or adult purposes, significant modification, and sublicensing to third parties are prohibited.

Article 9 (Termination) In the event of late payment or other violation of this Agreement that is not corrected within a reasonable period, the Licensor may terminate this Agreement.

Article 10 (Intellectual Property) All rights related to the Characters belong to the Licensor.

Article 11 (Governing Law and Jurisdiction) This Agreement shall be governed by the laws of Japan, and the district court having jurisdiction over the Licensor's location shall have exclusive agreement jurisdiction for the first instance.
